Voting rights

In accordance with Article 15 of the law of 2 May 2007 (the new "transparency act"), GBL must make public in Belgium and in the other European Union Member States (i) its total capital, (ii) the total number of shares conferring voting rights, and (iii) the total number of voting rights, no later than the end of any month during which these numbers increase or decrease.

When publishing these figures, the company is also obliged to mention the total number of bonds convertible into shares conferring voting rights and subscription rights to shares conferring voting rights not yet issued, as well as the total number of voting rights that would result from the exercise of these conversion or subscription rights.

This information allows GBL's shareholders to check whether they exceed or drop below the threshold of 5%, 10%, 15% ... (or any other multiple of five) of total voting rights and whether, consequently, they are obliged under Article 514 of the Company Code to declare that the threshold has been crossed. GBL has not made use of the possibility offered by the "transparency act" to incorporate into its articles of association more restrictive thresholds (of 1%, 2%, 3%, 4% and 7.5%).

More information on obligations in terms of transparency declarations may be obtained by referring to the provisions of the law of 2 May 2007 on the disclosure of major shareholdings in issuers whose securities are admitted to trading on a regulated market and laying down miscellaneous provisions, as well as to the Royal Decree of 14 February 2008 on the disclosure of major shareholdings.
